Terms of Service

Effective: January 1, 2015

1. Acceptance of Terms.

1.1 This Terms of Service document, INCLUDING THE BINDING ARBITRATION PROVISION CONTAINED IN SECTION 10 (the “TOS”), is an agreement which you must accept in order to use the LaunchSpot.io Service (“LaunchSpot.io,” the “LaunchSpot.io Service,” the “Service,” or the “Site,” as described below). It is applicable to (a) “Owners” -- this includes Primary Owners who initially set up the LaunchSpot.io Service and other Owners that are granted ownership privileges by the Primary Owner; (b) Administrators – those who manage and run a Network, Channel, or Group (“Administrators”) (Owners and Administrators, collectively “Administrative Users”), and to c) Members – users who are invited to join an existing LaunchSpot.io Network that has already been created by an Administrator (“Members”). The terms “You” and “users” encompass all users, including both Administrative and Members. This document describes both your rights and your obligations as part of using the Service. It is important that you read it carefully because you will be legally bound to these terms. LaunchSpot.io (WellRead Inc.), Inc. (“LaunchSpot.io (WellRead Inc.)” “we” “us”) only provides its LaunchSpot.io Service (as defined below) to you subject to this TOS. By accepting this TOS or by accessing or using the Service or Site, you acknowledge that you agree to be bound by this TOS (including the Privacy Policy, which is incorporated here by reference).

1.2 If you are entering into this TOS on behalf of a company or business, you represent that you have the authority to bind such entity, its Members, its Administrative Users, and its affiliates to this TOS. In that case, the terms “you” or “your” shall also refer to such entity, its Members, its Administrative Users, and its affiliates, as applicable. If you do not have such authority, or if you do not agree with this TOS, you may not use the Service. You acknowledge that this TOS is a contract between you and LaunchSpot.io (WellRead Inc.), even though it is electronic and is not physically signed by you and LaunchSpot.io (WellRead Inc.), and it governs your use of the Service.

1.3 As our business evolves, LaunchSpot.io (WellRead Inc.) may change this TOS. If we make a material change to the TOS, we will provide you with reasonable notice prior to the changes either by emailing the email address associated with your account or by posting a notice on the Site. You can review the most current version of the TOS at any time by visiting this page. The revised terms and conditions will become effective on the date set forth in our notice, and if you use the Service after that date, your use will constitute acceptance of the revised terms and conditions. If any change to this TOS is not acceptable to you, your only remedy is to cancel your account and stop using the Services, which you may do by notifying us via email at webteam+removal@launchspot.io.

1.4 As part of the registration process, you will identify an administrative user name (in the form of an email address) and password for your account. You may use these credentials to invite individuals within your business or organization to become Members (each with their own password) under your account. The number of Members is limited to the maximum number permitted for your account. You are responsible for maintaining the confidentiality of your login, password, and account and for all activities that occur under your login or account, including the activities of Members.

1.5 Members should be aware that your company or organization’s Administrative Users may have certain rights to access your account and may obtain related information in connection with the Services. The Administrator also sets your company or organization’s policies regarding your use of various aspects of the Services, including retention settings and the ability to preserve and export all communications in the account. As these rights may vary depending on the account, please see our FAQs for general information about account classifications, and refer to your company Administrator if you have questions regarding your particular account such as your account settings. Please also see the Privacy Policy for more information on these topics.

1.6 By accessing or using the Services, you affirm that you are at least 18 years of age (or have reached the age of majority if that is not 18 years of age where you live). You represent that you are fully able and competent to enter into and comply with the terms and conditions in this TOS. LaunchSpot.io is not directed to children under 13, so if you are under 13 years of age, you are not permitted to access or use the Services. If we become aware that you are using LaunchSpot.io even though you are under 13, we will deactivate your account.

If you are a school or teacher in the United States and want your students, who are over 13, to use LaunchSpot.io, including in conjunction with the establishment of a LaunchSpot.io account for the school or a group of students at the school, you agree that you are responsible for complying with the U.S. Family Educational Rights and Privacy Act (“FERPA”). This means you must notify those students’ parents/guardians of the personally identifiable information you will collect and share with LaunchSpot.io and obtain parental/guardian consent before your students establish accounts or use the Service. When obtaining such consent, you should provide parents/guardians with a copy of our Privacy Policy. You must keep all consents on file and provide them to us if we request them. If you are located outside of the United States, we will rely upon you to obtain any required consent or approval from the parent or guardian of any student covered by similar laws and, as a condition to your and your students’ use of the Service, you agree that you will be responsible for complying with such laws.

2. Description of Service.

The “Service(s)” include (a) LaunchSpot.io (WellRead Inc.)’s real-time communication, messaging, archiving and search services and related systems and technologies, as well as the website http://LaunchSpot.io, and our related mobile applications, and (b) all software (including the Software, as defined below), applications, data, reports, text, images, and other content made available through any of the foregoing. You shall comply with any codes of conduct, policies, storage limitations, or other notices LaunchSpot.io (WellRead Inc.) provides you or publishes in connection with the Service from time to time, and you shall promptly notify LaunchSpot.io (WellRead Inc.) if you learn of a security breach related to the Service.

3.2 Any software that may be made available by LaunchSpot.io (WellRead Inc.) in connection with the Service (“Software”) contains proprietary and confidential information that is protected by applicable intellectual property and other laws. Subject to the terms and conditions of this TOS, LaunchSpot.io (WellRead Inc.) only grants you a personal, non-sublicensable and non-exclusive license to use the object code of any Software solely in connection with the Service and in accordance with our policies. Any rights not expressly granted herein are reserved.

3.3 LaunchSpot.io (WellRead Inc.) reserves the right to use your Company name as a reference for marketing or promotional purposes on LaunchSpot.io (WellRead Inc.)’s website and in other communication with existing or potential LaunchSpot.io (WellRead Inc.) customers. For example, we might list your company on one of our webpages under lists of LaunchSpot.io customers. We don’t want to list customers who don’t want to be listed, so you may send an email to webteam@LaunchSpot.io stating that you do not wish to be used as a reference.

4. Your Data Rights and Related Responsibilities.

4.1 ”Your Data" means any data and content stored or transmitted via the Services by or on behalf of you or your end users (which may include data you elect to import from third party services you use). "Content" includes messages you send, files you upload, comments on files, profile information and anything else you enter or upload into LaunchSpot.io. 4.2 In order for us to provide the Service to you, we require that you grant us certain rights with respect to Your Data. For example, we need to be able to transmit, store and copy Your Data in order to display it to you and your Network, to index it so you are able to search it, to make backups to prevent data loss, and so on. Your acceptance of this TOS gives us the permission to do so and grants us any such rights necessary to provide the service to you, only for the purpose of providing the service (and for no other purpose). This permission includes allowing us to use third-party service providers (such as IBM SoftLayer) in the operation and administration of the service and the rights granted to us are extended to these third parties to the degree necessary in order for the service to be provided. These rights and permissions are not permanent: they terminate whenever you remove all or part of Your Data from The Service. We claim no ownership over Your Data.

4.3 If you or your end users send us any feedback or suggestions regarding the Service, you grant LaunchSpot.io (WellRead Inc.) an unlimited, irrevocable, free license to use any such feedback or suggestions for any purpose without any obligation to you or your end users.

4.4 You are solely responsible for your, your administrators’ and your end users’ conduct, the content of Your Data, and all communications with others while using the Services. We may choose to review content made public within your network for compliance with our policies and guidelines, but you acknowledge that LaunchSpot.io (WellRead Inc.) has no obligation to monitor any information on the Services. However, you further agree that LaunchSpot.io (WellRead Inc.) may remove or disable any content made public within your network at any time for any reason or for no reason at all. For example, if you upload files which do not belong to you and make these files available publicly within your network, we can delete those files. We are not responsible for the accuracy, appropriateness, or legality of Your Data or any other information you and your end users may be able to access using the Services. The Services provide features that allow you and your end users to share Your Data and other materials with others privately or to make it public within your network. Please consider carefully what you allow to be shared or made public.

5. Payment.

To the extent any portion of the Service is made available for a fee, you will be required to select a payment plan and provide LaunchSpot.io (WellRead Inc.) accurate information regarding your credit card or other payment instrument. You will promptly update your account information with any changes in your payment information. You agree to pay LaunchSpot.io (WellRead Inc.) the amount that is specified in the applicable payment plan in accordance with the terms set forth in the Service and this TOS, and you authorize LaunchSpot.io (WellRead Inc.) to bill your payment instrument in advance on a periodic basis in accordance with such terms. If you dispute any charges you must let LaunchSpot.io (WellRead Inc.) know within thirty (30) days after the date that LaunchSpot.io (WellRead Inc.) invoices you. All amounts paid are non-refundable and we reserve the right to change our prices in the future. If we do change prices, we will provide notice of the change on the Site and in email to you at least 30 days before the change is to take effect. Your continued use of the Service after the price change goes into effect constitutes your agreement to pay the changed amount. LaunchSpot.io (WellRead Inc.) may choose to bill through an invoice, in which case, full payment for invoices issued must be received by the specified date or the Services may be terminated. Unpaid invoices are subject to a finance charge of 1.5% per month on any outstanding balance, or the maximum permitted by law, whichever is lower, plus all expenses of collection. You shall be responsible for all taxes associated with Services other than Canadian taxes collected on invoicing and based on LaunchSpot.io (WellRead Inc.)’ net income.

Our Privacy Principles

If you read nothing else, please read this:

The most fundamental privacy principle we follow is that by default, anything you post to LaunchSpot.io is private to your organization’s network. That is, viewing the messages and files shared within a specific organization requires authentication as a member of that organization.

LaunchSpot.io is the custodian of data on behalf of the organizations that use LaunchSpot.io. We don’t own an organization’s communication data. Organizations own their data. They like it that way and so do we.

At LaunchSpot.io we believe that more transparency is better than less. We try to make our product easy to use, with settings and options that are easy to find and understand. This is good for privacy, good for the product, and good for LaunchSpot.io customers and users.

LaunchSpot.io Privacy Policy

Effective: January 1, 2015

This privacy policy is here to help you understand what information we collect at LaunchSpot.io, how we use it, and what choices you have. When we talk about LaunchSpot.io in this policy, we are talking about LaunchSpot.io (WellRead Inc.), the company, LaunchSpot.io, the downloadable application, and the LaunchSpot.io website at www.LaunchSpot.io. LaunchSpot.io is available for use via a web browser or applications specific to your desktop or mobile device.

This policy describes how LaunchSpot.io treats your information, not how other organizations treat your information. If you are using LaunchSpot.io in a workplace or on a device or account issued to you by your employer or another organization, that company or organization likely has its own policies regarding storage, access, modification, deletion, and retention of communications and content which may apply to your use of LaunchSpot.io. Content that would otherwise be considered private to you or to a limited group of people may, in some special cases, be accessible by your administrator. Please check with your employer, organization owner or administrator about the policies it has in place regarding your communications and related content on LaunchSpot.io. More on this below.

In this policy we talk about various roles within a LaunchSpot.io team/organization and the privileges that come with each. It’s helpful to understand these roles and the relationships between them. Here’s the breakdown: organization owner (super-admin) > organization administrator (admin) > member. Organization owners have the most control over their organization’s settings on LaunchSpot.io, followed by organization administrators. The person who establishes the LaunchSpot.io organization is considered organization owner with the most control over the organization (which is why it’s not a good idea for this person to be a contractor or temp employee). Organizations can have more than one owner. Organization ownership can be transferred to another user after the organization is created (see prior note about temp workers and flaky people). All organization owners are administrators, and all owners and administrators are also members.

Information we collect and receive

We collect different kinds of information. Some of it is personally identifiable and some is non-identifying or aggregated. Here are the types of information we collect or receive:

Organization information. When you create a organization on LaunchSpot.io, we collect your email address (as the organization owner), your organization name, your user name that appears in your LaunchSpot.io organization, and password.

Account and profile information. The only information we require to create your LaunchSpot.io account is an email address, your LinkedIn profile information and a password. Optional information you can enter into your profile includes information such as your Google+ profile link, your Twitter username, and your phone number. Any information you add to your profile is visible to other people on your team as described on your profile management page.

Log data. When you use LaunchSpot.io, our servers automatically record information including information that your browser sends whenever you visit a website or your mobile app sends when you’re using it. This log data may include your Internet Protocol address, your browser type and settings, the date and time of your request, information about your browser configuration and plug-ins, language preferences, and cookie data.

Device information. In addition to log data, we may also collect information about the device you’re using LaunchSpot.io on, including what type of device it is, what operating system you’re using, device settings, unique device identifiers, and crash data. Whether we collect some or all of this information often depends on what type of device you’re using and its settings.

Geo-location information. Precise GPS from mobile devices is collected only with your permission. WiFi and IP addresses received from your browser or device may be used to determine approximate location.

LaunchSpot.io usage information. This is information about which organizations, channels, groups, people, features, content, and links you interact with within LaunchSpot.io and what integrations with related services you use.

Communication content that you send and receive within LaunchSpot.io. This includes:

-We store the message content itself. This content can include messages, pictures, files and video among other types of files.

-When messages or files were sent and by whom, when or if they were seen by you, and where you received them (in a spot, private group, or direct message, for example).

Our Cookie Policy

LaunchSpot.io uses cookies, or similar technologies like single-pixel gifs and web beacons, to record log data. We use both session-based and persistent cookies.

Cookies are small text files sent by us to your computer and from your computer to us, each time you visit our website. They are unique to your LaunchSpot.io account or your browser. Session-based cookies last only while your browser is open and are automatically deleted when you close your browser. Persistent cookies last until you or your browser delete them or until they expire.

Some cookies are associated with your LaunchSpot.io account and personal information in order to remember that you are logged in and which organizations you are logged into. Other cookies are not tied to your LaunchSpot.io account but are unique and allow us to do site analytics and customization, among other things. If you access LaunchSpot.io through your browser, you can manage your cookie settings there but if you disable all cookies you may not be able to use LaunchSpot.io.

LaunchSpot.io sets and accesses our own cookies on our company-owned domains. In addition, we use 3rd parties like Google Analytics for website analytics. Google Analytics provides their own opt-out. We do not currently recognize or respond to browser-initiated Do Not Track signals as there is no consistent industry standard for compliance.

How we use your information

We use your information for the following:

Providing the LaunchSpot.io service. We use information you provide to authenticate you and deliver message content to you and from you

Understanding and improving our products. To make the product better we have to understand how users are using it. We have a fair bit of data about usage and we intend to use it many different ways to improve our products, including research. This policy is not intended to place any limits on what we do with usage data that is aggregated or de-identified so it is no longer tied to a LaunchSpot.io user.

Investigating and preventing bad stuff from happening. We work hard to keep LaunchSpot.io secure and to prevent abuse and fraud.

Communicating with you

-Solving your problems and responding to your requests. If you contact us with a problem or question, we will use your information to respond to that request and address your problems or concerns.

-In-product communications. We may use the information your provide to contact you through LaunchSpot.io. For example, if, after, a few weeks of using LaunchSpot.io we notice that your notification setting is set to notify you of all messages, we may send you a LaunchSpot.io message that suggests you change this in case you are getting too many notifications. This is just one example of how we use information about your usage of the product to make suggestions to you.

-Email messages. We may send you service and administrative emails, such as when we notice that you are nearing a message or integration limit. We may also contact you to inform you about changes in our services, or our service offerings. These messages are considered part of the service and you may not opt-out of them. In addition, we sometimes send emails to LaunchSpot.io users about new product features or other news about LaunchSpot.io. You can opt-out of these at any time.

-We backup and retain all people, spots, private group, direct messages, journal entries and milestones data of all members for as long as the organization exists. If a message/journal/milestone is edited, only the last edited version of the item is retained. If a journal/milestone is deleted, it is hidden from view but still remains in the archive.  If a message is deleted it is removed from view and from the database.  If a person or a company is disabled they remain visible to owners and administrators in the Management Console but are marked as such.  If a user is deleted or disabled their content still remains in LaunchSpot as those messages will still be valuable to your organization.

-All Journal and Milestone comments are stored encrypted.

-When you upload a document or a file on LaunchSpot.io, you can decide where to share it and with whom. You can also share documents with your entire organization, or in private groups.

-Only a organization owner can request the deletion of an organization.

Sharing and Disclosure

There are times when communications and related content and other user information may be shared by LaunchSpot.io. This section discusses only how LaunchSpot.io may share user information. Organizations that use LaunchSpot.io may have their own policies for sharing and disclosure of information they can access through LaunchSpot.io. LaunchSpot.io may share information:

-With consent, to comply with legal process, or to protect LaunchSpot.io and our users. When we have your consent or if we believe that disclosure is reasonably necessary to comply with a law, regulation or legal request; to protect the safety, rights, or property of the public, any person, or LaunchSpot.io; or to detect, prevent, or otherwise address fraud, security or technical issues. If we receive a legal or law enforcement request for information we will do our best to notify the subject of the request if we are able.

-About you with your organization or organization administrator(s).  There may be times when you contact LaunchSpot.io to help resolve an issue specific to a organization you are a member of. In order to help resolve the issue, we may need to share your concern with your administrator. Security Practices

Effective: January 1, 2015

Each person and each organization using LaunchSpot.io expects their data to be secure, confidential, and private. We understand how important this is to our customers and work to the best of our abilities to ensure all three expectations are met. Please review the information below regarding our current policies and practices, along with our Privacy Policy and Terms of Service. This is a living document and we will update it as our service evolves and industry practices change.

As a company, we use the LaunchSpot.io service for nearly all of our communication. Ensuring that the LaunchSpot.io service remains secure is vital to protecting our own data. The security of your information is required for our success as a business. Below are some details on our security practices.  We follow all best practices for the security of data, etc. as per CISSP (ISC)2 and our data centre (IBM) follows all industry best practices/certifications for security.

Encrypted Traffic by Default

LaunchSpot.io uses 256-bit AES.  We monitor the security community's output closely and work promptly to upgrade the service to respond to new vulnerabilities as they are discovered.

Secure Physical Location

Our servers are located in IBM’s Data Centres.  For our Canadian Customers we store your data in a Canadian IBM Data Centre.  Every location is hardened against physical intrusion, and server room access is limited to certified employees. All of the controls (inside and outside the data center) are vetted by third-party auditors, and they provide detailed reports for customers' own security certifications.

Security Features for Team Members & Administrators

The highest security risk to any system is usually the behaviour of its users. We want to provide you with the tools you need to protect your own data.  We will continue to roll out additional features which afford you more control over the security of your own LaunchSpot.io organization. We will also be adding more options for organization administrators to set internal security policies, such as establishing password strength requirements or requiring use of PIN-lock functionality for LaunchSpot.io’s mobile apps.

We understand that you rely on LaunchSpot.io to work. We're committed to making LaunchSpot.io a highly-available, ultra-reliable service that you can always count on. We build systems that tolerate the failure of individual computers, keep many copies of your data online for redundancy.

We regard the information you share within your LaunchSpot.io organization as private and confidential to your organization. We place strict controls over our employees’ access to internal data and are committed to ensuring that your data is never seen by anyone who should not see it.

While the operation of the LaunchSpot.io service would not be possible unless there were some technical employees with sufficient system permissions to enable them to access and control software that stores and indexes the content you add to your LaunchSpot.io organization, this team is kept purposefully small and are prohibited from using these permissions to view customer data unless it is necessary to do so.

All of our employees and contractors are bound to our policies regarding customer data and we treat these issues as matters of the highest importance within our company. If, in order to diagnose a problem you are having with the service, we would need to do something that would expose your personal communications to one of our employees in a readable form, we will ask for your consent prior to taking action.

There are limited circumstances when we ever share customer content without first obtaining permission. These are outlined in our Privacy Policy.

A fundamental privacy principle we abide by is that by default, anything you post to LaunchSpot.io is private to your organization. That is, viewing the messages and files shared within a specific organization requires authentication as a member of that organization. LaunchSpot.io has a comprehensive Privacy Policy that lays out our approach to privacy.  Please take a moment to read it. Also please read our information dialogues when signing in to learn more about topics such as how permissions vary for communications that take place via spots, private groups, and direct messaging.

If you are using LaunchSpot.io in a workplace or on a device or account issued to you by your employer or another organization, they will almost certainly have their own policies in place regarding storage, access, modification, deletion and retention of communications and content. Please check with your employer or team administrator about what policies they have in place regarding your communications and related content.

We know how important these issues are to you. They are equally important to us. The security, privacy and confidentiality of your information are core to our success as a business and we will continue to be proactive, vigilant and diligent in ensuring its safety.

If you have additional questions regarding data privacy, security or confidentiality, we’d be happy to answer them. Please write to webteam+privacy@LaunchSpot.io and we’ll respond as quickly as we can.

If you believe you have found a security vulnerability on LaunchSpot.io, we encourage you to let us know right away. We will investigate all legitimate reports and do our best to quickly fix the problem.
